This Affiliate Agreement ("Agreement") is made and entered into by and between Nyla Technologies LLC ("Company") and the individual or entity agreeing to the terms herein ("Affiliate").
The Company offers an affiliate program to promote its product, PhoneContacts, under the terms described in this Agreement. Affiliates earn a 20% recurring monthly commission on each active subscription sale referred by them, subject to the conditions outlined below.
1.1 To enroll in the Affiliate Program, the Affiliate must complete and submit the online application form provided by PhoneContacts.net.
1.2 The Company reserves the right to accept or reject any application at its sole discretion. Applications may be rejected if the prospective Affiliate’s website, content, or activities are deemed inappropriate or inconsistent with the Company’s values and brand.
2.1 The Affiliate will promote PhoneContacts.net’s products and services through legal and ethical means, including but not limited to placing affiliate links, banners, or other approved promotional materials on their website, email campaigns, or social media.
2.2 The Affiliate will not engage in deceptive, fraudulent, or unlawful practices, including spam, false advertising, or misleading promotions.
2.3 The Affiliate is solely responsible for ensuring that their website and promotional activities comply with all applicable laws, regulations, and guidelines.
2.4 Affiliates are prohibited from bidding on Company-related keywords in pay-per-click campaigns unless explicitly approved in writing by the Company.
3.1 The Company will pay the Affiliate a commission for each valid sale through the Affiliate’s unique referral links.
3.2 Commission rates and payment schedules are subject to change at the discretion of the Company, with reasonable notice provided to the Affiliate.
3.3 Payments will be made to the Affiliate based on the payment method selected during registration, provided the Affiliate’s account balance meets the minimum payout threshold.
3.4 Any fraudulent or suspected fraudulent transactions will be excluded from commission calculations.
To qualify for Recurring commissions: After the first 90 days as an Affiliate, the Affiliate must achieve a minimum of 10 new sales within the previous 60-day to be eligible for Recurring commision.Example 1:
If the Affiliate generates 10 valid subscriptions in January, the total commission earned will be calculated as:

4.1 The Affiliate may use the Company’s trademarks, logos, and promotional materials solely for the purpose of promoting PhoneContacts.net’s products and services, and only in accordance with the Company’s guidelines.
4.2 The Affiliate will not modify, alter, or create derivative works of the Company’s intellectual property without prior written consent.
5.1 This Agreement will commence upon the Company’s acceptance of the Affiliate’s application and will remain in effect until terminated by either Party.
5.2 Either Party may terminate this Agreement at any time, with or without cause, by providing written notice to the other Party.
5.3 Upon termination, the Affiliate must immediately remove all affiliate links and promotional materials related to PhoneContacts.net from their website and other channels.
6.1 The Company will not be liable for any indirect, special, or consequential damages arising in connection with this Agreement or the Affiliate’s participation in the program.
6.2 The Company makes no express or implied warranties regarding the Affiliate Program or the products and services offered by PhoneContacts.net.
7.1 This Agreement will be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law principles.
7.2 Any disputes arising out of or relating to this Agreement will be resolved exclusively in the courts of [Insert Jurisdiction].
8.1 This Agreement constitutes the entire agreement between the Parties with respect to the Affiliate Program and supersedes any prior agreements or understandings.
8.2 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
8.3 The Company reserves the right to modify this Agreement at any time. Affiliates will be notified of any material changes, and continued participation in the program will constitute acceptance of the revised terms.
